OmniShip Express – Website Terms and Conditions

1. Acceptance of These Terms

By accessing or using OmniShip Express ("OmniShip," "we," "our," or "us") websites, applications, or services (collectively, the "Site"), you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Site.

2. Definitions

  • Services: Parcel shipping brokerage, rate comparison, access to discounted carrier rates, customs documentation support, and the free Parcel Savings Analysis.

  • Carrier: Any third‑party transportation provider (e.g., DHL Express, FedEx, UPS) used to move Customer’s parcels.

  • Shipment: One or more parcels tendered by Customer for transportation via a Carrier arranged by OmniShip.

3. Scope of Services

OmniShip is a DHL Express Authorized Agent. We facilitate parcel shipping with selected carriers, including FedEx® and UPS® small‑parcel services. OmniShip provides access to negotiated carrier rates, shipping labels, and limited customs support. OmniShip is not a freight forwarder, common carrier, or customs broker of record.

4. Carrier Relationships & Trademarks

All shipping is performed by the selected Carrier under that Carrier’s published terms. DHL®, FedEx®, and UPS® are registered trademarks of their respective owners. OmniShip is not an authorized representative of UPS or FedEx. Use of their names is for identification only.

5. Quotes, Rates & Savings Analysis

Rate quotes, transit times, and savings estimates provided through our Site—including the free Parcel Savings Analysis—are based on information supplied by you and current Carrier tariffs. They are non‑binding and subject to change without notice. Actual charges may vary due to dimensional weight, surcharges, address corrections, currency fluctuations, or Carrier‑assessed fees.

6. Customer Responsibilities

You agree to:

  1. Provide complete, accurate shipment data (weight, dimensions, contents, declared value, customs codes, etc.).

  2. Comply with all applicable U.S. and destination‑country export, import, and sanctions laws.

  3. Ensure shipment contents are properly packaged, labeled, and do not include prohibited or hazardous items.

  4. Pay all shipping charges, duties, taxes, and governmental fees.

  5. Retain shipment documentation as required by law.

You remain the shipper, importer, and/or exporter of record and bear all legal responsibility for each Shipment.

7. Customs Clearance & Duties

DHL Express generally clears international shipments in the air; however, OmniShip does not guarantee customs clearance times or acceptance. Duties, taxes, and other import fees are the responsibility of the Customer or consignee. Any estimates provided are for convenience only.

8. Prohibited & Restricted Items

You must not ship items prohibited by the selected Carrier or by origin/destination laws, including—but not limited to—dangerous goods, counterfeit products, or items subject to export control without a valid license. OmniShip may refuse or cancel any Shipment it deems non‑compliant.

9. Transit Times & Service Guarantees

Published transit times are estimates. OmniShip is not liable for delays caused by Carriers, customs, weather, labor disputes, or other events beyond our control. Refunds for late delivery are subject solely to the Carrier’s own money‑back guarantee (if any) and their claim procedures.

10. Insurance & Claims

Carrier liability is limited by applicable tariffs. Additional cargo insurance may be available upon request. Claims for loss or damage must be filed with OmniShip in writing within the earlier of (a) seven (7) days of delivery or (b) the Carrier’s published claim window. Failure to comply may void your claim.

11. Payment Terms

Payment is due at checkout or according to your approved credit terms. Invoices unpaid after the due date accrue interest at 1.5% per month (or the maximum rate allowed by law). OmniShip may suspend Services for past‑due accounts.

12. Intellectual Property

The Site, including text, graphics, logos, and software, is owned by OmniShip or its licensors and protected by intellectual‑property laws. Except for your limited right to access the Site, no license or right is granted.

13. Privacy

Our use of personal information is governed by the OmniShip Privacy Policy, incorporated herein by reference.

14. Third‑Party Links

Our Site may contain links to third‑party sites. OmniShip is not responsible for their content or practices.

15. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OMNISHIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNISHIP’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE SHIPMENT GIVING RISE TO THE CLAIM OR USD 100, WHICHEVER IS LESS. IN NO EVENT SHALL OMNISHIP BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

17. Indemnification

Customer agrees to indemnify, defend, and hold harmless OmniShip, its officers, employees, and agents from any claim, loss, or liability (including reasonable attorneys’ fees) arising out of (a) Customer’s breach of these Terms, (b) non‑compliant Shipments, or (c) violation of any law or third‑party right.

18. Termination

OmniShip may terminate or suspend access to the Site or Services at any time, with or without notice, for any reason, including Customer’s breach of these Terms.

19. Modifications

OmniShip may modify these Terms at any time by posting the revised version on the Site. Continued use after the “Last updated” date constitutes acceptance of the revised Terms.

20. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict‑of‑law principles. Any dispute shall be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association in Denver, Colorado. Judgment on the award may be entered in any court of competent jurisdiction.

21. Severability

If any provision of these Terms is determined unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms constitute the entire agreement between Customer and OmniShip regarding the Site and Services and supersede all prior or contemporaneous agreements, whether oral or written.
